These Terms and Conditions ("Terms") govern your use of the NFT collection (the "Collection") created and offered by Supawcool LLC ("we," "us," or "our"). By accessing or using the Collection, you agree to be bound by these Terms.

1. Ownership and Intellectual Property Rights

1.1 Ownership of Collection IP

Supawcool LLC retains all right, title, and interest in and to the Collection, including all artwork, designs, characters, trademarks, logos, branding, and associated intellectual property rights (the “Collection IP”).

Ownership of an NFT does not transfer ownership of the underlying Collection IP, except as expressly provided in Section 1.2 below.

1.2 Full Commercial IP License to NFT Holders

Subject to your continued ownership of a valid NFT from the Collection and compliance with these Terms, Supawcool LLC grants you a worldwide, perpetual (for so long as you own the NFT), non-exclusive, transferable, sublicensable license to:

• Use, copy, display, perform, and distribute the artwork associated with your specific NFT
• Create derivative works based on your specific NFT
• Use the artwork for personal and commercial purposes without revenue limitation
• Develop brands, products, businesses, and content based on your specific NFT
• Manufacture and sell physical merchandise incorporating your NFT artwork
• Produce digital goods, media, games, animation, films, and other commercial content featuring your NFT

This license applies only to the specific NFT you own and does not grant rights to other NFTs in the Collection or the Collection as a whole.

1.3 Moral Use and Revocation

The license granted under Section 1.2 may be suspended or revoked by Supawcool LLC if the NFT artwork is used in connection with unlawful, defamatory, fraudulent, hateful, discriminatory, pornographic, extremist, or otherwise harmful conduct, or in a manner that materially damages the reputation or brand of Supawcool LLC.

Supawcool LLC reserves the right to determine, in its reasonable discretion, whether such conduct has occurred.

1.4 Sublicensing Rights

You may grant sublicenses to third parties to use your specific NFT artwork for commercial purposes, provided:

• You maintain ownership of the NFT at the time of sublicensing
• Any sublicense terminates automatically if you transfer the NFT
• The sublicense does not imply official endorsement by Supawcool LLC

1.5 Brand and Trademark Protection

This license does not grant:

• Rights to use the “Supawcool” name, logos, trademarks, or branding without written permission
• Rights to represent derivative works as official Supawcool products
• Rights to create derivative NFT collections based on the broader Collection

NFT holders may not mint, tokenize, issue, or create new blockchain-based tokens or NFT collections that represent derivative versions of the Collection IP or any portion thereof.

Supawcool LLC retains all rights to the Collection IP, trademarks, and brand identity.

1.6 Transfer of License

If you sell or transfer your NFT, all rights granted under this license automatically transfer to the new owner, and your rights immediately terminate.

1.7 Supawcool's Retained Rights

Notwithstanding any license granted herein, Supawcool LLC retains the perpetual, worldwide, irrevocable right to use, reproduce, modify, display, distribute, license, and commercialize the Collection IP, including all individual NFT artwork, for any purpose, including but not limited to:

• Marketing and promotion
• Merchandise and product development
• Media, entertainment, and brand expansion
• Derivative collections or expansions
• Licensing arrangements, collaborations, and partnerships

The rights granted to NFT holders under Section 1.2 are non-exclusive and do not limit Supawcool LLC’s ability to use, commercialize, or license the same artwork, characters, traits, or derivatives thereof.

Nothing in these Terms shall be interpreted as granting any NFT holder exclusive intellectual property rights in the Collection IP.

2. NFT Purchases

2.1 Ownership Transfer

When you purchase an NFT from our Collection, you own the NFT token recorded on the blockchain. The NFT serves as proof of ownership of the associated digital asset and grants the license rights described in Section 1.2.

2.2 No Refunds

All NFT purchases are final. We do not offer refunds.

3. Restrictions

You agree not to:

• Use the Collection for illegal purposes
• Reproduce or exploit the Collection IP outside the scope of the license granted
• Use automated systems to scrape or extract content
• Interfere with blockchain functionality or smart contracts

4. Community Derivative Works and User-Generated Art

User-created artwork, derivative works, content, media, designs, merchandise concepts, or other materials based on NFTs from the Collection (“Community Creations”) may be shared, displayed, promoted, reposted, modified, adapted, and commercialized by Supawcool LLC.

By creating, posting, sharing, submitting, minting, or otherwise distributing any Community Creation that incorporates or is based on the Collection IP, you grant Supawcool LLC a perpetual, worldwide, royalty-free, transferable, sublicensable, irrevocable license to:

• Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and publicly display such Community Creations
• Incorporate Community Creations into marketing materials, merchandise, product development, media, entertainment projects, promotional campaigns, derivative collections, or other commercial initiatives
• Use the creator’s publicly displayed wallet address, username, brand name, or social media handle for attribution and promotional purposes

Supawcool LLC shall have no obligation to provide compensation for use of Community Creations unless otherwise agreed in writing.

Nothing in this section transfers ownership of the Community Creation itself to Supawcool LLC; however, the license granted herein allows Supawcool LLC broad rights to use and commercialize such works.

You represent and warrant that any Community Creation you create or distribute does not infringe the intellectual property or other rights of any third party and that you have all necessary rights to grant the license described in this Section.

5. Privacy

Your use of the Collection is governed by our Privacy Policy.

6. Disclaimers

6.1 No Warranty

The Collection is provided “as is” without warranties of any kind.

6.2 Blockchain Risks

You acknowledge the inherent risks of blockchain technology, including loss of assets due to hacking, smart contract vulnerabilities, or network failures.

7. Limitation of Liability

To the fullest extent permitted by law, Supawcool LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of the Collection
• Unauthorized access to servers or blockchain assets

8. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use constitutes acceptance.

9. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Collection shall be resolved through binding arbitration in the State of California, in accordance with applicable arbitration rules.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.
