These Terms and Conditions ("Terms") govern your use of the NFT collection (the "Collection") created and offered by Supawcool LLC ("we," "us," or "our"). By accessing or using the Collection, you agree to be bound by these Terms.

1. Ownership and Intellectual Property Rights

1.1 Ownership of Collection IP

Supawcool LLC retains all right, title, and interest in and to the Collection, including all artwork, designs, characters, trademarks, logos, branding, and all associated intellectual property rights (collectively, the “Collection IP”).

Ownership of an NFT does not convey ownership of the underlying Collection IP, except for the limited rights expressly granted in Section 1.2.

1.2 Limited Personal Use License

Subject to your continued ownership of a valid NFT from the Collection and compliance with these Terms, Supawcool LLC grants you a limited, worldwide, non-exclusive, revocable, non-transferable license (except as provided in Section 1.6) to:

• Display the artwork associated with your specific NFT for personal, non-commercial use
• Use the artwork as a profile picture, in social media posts, or in digital displays
• Share, display, and showcase the artwork in personal collections, galleries, or virtual environments

No Commercial Rights or Derivative Rights Granted.
Except for the limited personal, non-commercial rights expressly granted above, all rights are reserved by Supawcool LLC. You may not use the artwork or Collection IP for any commercial purpose, and you may not create, modify, adapt, translate, or otherwise prepare or use any derivative works based on the artwork or Collection IP.

No rights are granted by implication, estoppel, or otherwise.

1.3 Moral Use and Revocation

Supawcool LLC may suspend or revoke the license granted in Section 1.2 at any time if, in its reasonable discretion, the artwork is used in connection with unlawful, defamatory, fraudulent, hateful, discriminatory, pornographic, extremist, or otherwise harmful conduct, or in any manner that may damage the reputation or brand of Supawcool LLC.

1.4 No Sublicensing

You may not license, sublicense, transfer, assign, or otherwise grant any rights in the artwork or Collection IP to any third party.

You may not modify, edit, alter, or otherwise use the artwork or Collection IP in any manner not expressly permitted under these Terms.

1.5 Brand and Trademark Protection

Nothing in these Terms grants you any rights to:

• Use the “Supawcool” name, logos, trademarks, or branding without prior written consent
• Represent yourself or any content as affiliated with, endorsed by, or official to Supawcool LLC

You may not mint, tokenize, or otherwise create any blockchain-based assets that incorporate, reference, or are derived from the Collection IP.

All rights in the Collection IP, including trademarks and brand identity, are reserved by Supawcool LLC.

1.6 Transfer of License

If you sell or otherwise transfer your NFT, the limited license granted under Section 1.2 will automatically transfer to the new owner, provided that such owner complies with these Terms. Upon transfer, your rights under this license immediately terminate.

1.7 Supawcool's Retained Rights

Notwithstanding any license granted herein, Supawcool LLC retains a perpetual, worldwide, irrevocable right to use, reproduce, modify, display, distribute, license, and commercialize the Collection IP, including all individual NFT artwork, for any purpose, including:

• Marketing and promotion
• Merchandise and product development
• Media, entertainment, and brand expansion
• Derivative works, collections, or extensions
• Licensing arrangements, collaborations, and partnerships

The license granted to NFT holders is non-exclusive and does not restrict Supawcool LLC’s ability to use or commercialize the same or similar artwork, characters, traits, or derivatives.

Nothing in these Terms grants any NFT holder exclusive intellectual property rights in the Collection IP.

Any unauthorized use of the Collection IP constitutes infringement and may result in legal action.

2. NFT Purchases

2.1 Ownership Transfer

When you purchase an NFT from our Collection, you own the NFT token recorded on the blockchain. The NFT serves as proof of ownership of the token recorded on the blockchain and provides access to the license rights described in Section 1.2.

2.2 No Refunds

All NFT purchases are final. We do not offer refunds.

3. Restrictions

You agree not to:

• Use the Collection for illegal purposes
• Reproduce or exploit the Collection IP outside the scope of the license granted
• Use automated systems to scrape or extract content
• Interfere with blockchain functionality or smart contracts

4. Unauthorized Content

You are not permitted to create, use, or distribute any content that incorporates or is derived from the Collection IP, in whole or in part, except as expressly permitted under Section 1.2.

If you create, post, share, submit, mint, or otherwise distribute any such content in violation of these Terms (“Unauthorized Content”), you hereby grant Supawcool LLC a perpetual, worldwide, royalty-free, transferable, sublicensable, irrevocable license to:

• Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and publicly display such Unauthorized Content
• Incorporate such content into marketing materials, merchandise, product development, media, entertainment projects, promotional campaigns, or other commercial initiatives
• Use your publicly displayed wallet address, username, brand name, or social media handle for attribution and promotional purposes

Supawcool LLC shall have no obligation to provide compensation for the use of such Unauthorized Content unless otherwise agreed in writing.

Nothing in this section transfers ownership of the Unauthorized Content itself to Supawcool LLC; however, the license granted herein provides Supawcool LLC with broad rights to use and commercialize such content.

You represent and warrant that any content you create or distribute does not infringe the intellectual property or other rights of any third party and that you have the necessary rights to grant the license described in this Section.

5. Privacy

Your use of the Collection is governed by our Privacy Policy.

6. Disclaimers

6.1 No Warranty

The Collection is provided “as is” without warranties of any kind.

6.2 Blockchain Risks

You acknowledge the inherent risks of blockchain technology, including loss of assets due to hacking, smart contract vulnerabilities, or network failures.

NFTs are collectible digital assets. We make no guarantees regarding their value, resale price, or potential appreciation.

7. Limitation of Liability

To the fullest extent permitted by law, Supawcool LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of the Collection
• Unauthorized access to servers or blockchain assets

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will use reasonable efforts to provide notice of material changes. Continued use of the Collection constitutes acceptance of the updated Terms.

9. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Collection shall be resolved through binding arbitration in the State of California, in accordance with applicable arbitration rules.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.
You agree to waive any right to a trial by jury and to participate in a class action lawsuit.
